Notice

By installing, operating, copying, distributing or otherwise using Coating Calculator, you agree to the terms and conditions of this Shareware License Agreement. If you do not agree to the terms of this agreement, DO NOT INSTALL Coating Calculator.

Licence

Conditional on your (The User) honouring the terms of this agreement, Safinah Ltd (The Publisher) grants you a non-exclusive, non-transferable license (the License) to install and use the current version of Coating Calculator, including the accompanying user documentation and any later versions within the same major release series, for your personal, lawful, non-infringing use on two (2) personal computer/handheld device or mobile phone in accordance with this agreement. A separate Licence for each personal computer/handheld device or mobile phone after the second or for which you do not personally use must be purchased.

Trial period

The Licence extends for a single trial period of 30 days following your first installation of the Software to permit you to evaluate Coating Calculator. The Licence will terminate automatically at the end of the trial period unless you register your copy of Coating Calculator first. You may not use Coating Calculator for more than one Trial Period.

Long Term Licence

If you register your copy of Coating Calculator and pay the appropriate Licence fees to Safinah Ltd. The Licence will remain in effect perpetually unless terminated as provided below.

Trial Distribution

1. You may provide trial copies of Coating Calculator to others for their trial use so long as you: provide exact, unmodified copies of Coating Calculator in the form of self installing .exe file or ZIP file received from Safinah Ltd, including all accompanying files, this Agreement, and all copyright, trademark, proprietary and other notices.
2. Do not change or collect any monetary or other compensation for or in connection with Coating Calculator and
3. Reference Safinah Ltd (www.safinah.co.uk) as the sole source of Coating Calculator and reference the official Safinah Ltd Web site – where coating calculator can be obtained.

Back-up Copies

You may make one exact, unmodified copy of Coating Calculator solely for you own Back-up or archival use.

Prohibited Acts

You may NOT:

1. Sublicense, sell, lease, permit use of, give, lend, distribute, release, provide access to or in any way transfer Coating Calculator or any copy or portion thereof, except for Trial Distribution as permitted above;
2. Use Coating Calculator to provide service bureau or time sharing services to any other party;
3. Make any copies of Coating Calculator except as permitted herein.
4. Modify, enhance, or prepare derivative works based on Coating Calculator.
5. Decompile, disassemble, reverse engineer, analyse, or otherwise attempt to discover the source code of Coating Calculator.
6. f. Use or incorporate Coating Calculator or any portion thereof in any other product or place on any other Website or other form of distribution point, without the prior written permission of Safinah Ltd (letter to be signed by a (Director of Safinah Ltd) or,
7. Remove, alter, or obscure the copyright, trademark, proprietary or other notices from Coating Calculator or any of its screen displays.

Proprietary Rights

Title to, ownership of, and all copyrights and other intellectual property rights in Coating Calculator and all copies shall remain solely in Safinah Ltd. Coating Calculator is protected by English copyright and other intellectual property laws and by international treaties. Safinah Ltd reserves to itself all rights not expressly granted in this agreement.

No Warranty

Coating Calculator and all related support is provided "AS IS" and without warranty of any kind. Safinah Ltd. Disclaims all warrantees, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

Information/Results

Coating Calculator provides a convenient form of calculation for a variety of coating related activities and conversions. Safinah Ltd makes no warranty, and shall have no liability, with respect to the accuracy, completeness, currency, usefulness, legality, non-infringement or any other aspect of the results provided from these calculations. They should be treated as estimates/guidelines.

Other Disclaimers

Safinah Ltd does not warrant that Coating Calculator will meet your specific needs or requirements, or that Coating Calculator will provide the results that you require, nor that operation of Coating Calculator will be in all instances uninterrupted or error-free, because software is inherently complex and may not be completely free of errors.

Exclusion of Damages

Safinah Ltd. Shall not be liable for any direct, consequential, special, incidental, or other damages, including but not limited to damages for lost profits, interruption of business, lost or corrupted data or programmes, system crashes, or diversion of system or other resources, arising out of or relating to this Agreement or the performance, quality, results, use of, or inability to use Coating Calculator or any support, advice, products, or services which are or should have been provided to you, even if Safinah Ltd has been advised of the possibility of such damages.

Technical Protection

Coating Calculator may contain technical protections that restrict use to certain equipment or a single personal computer or workstation, or to a certain time period, and may provide other restrictions, all of which shall be consistent with the Licence. Safinah Ltd. Shall not be liable for any damages incurred as a result of such technical protections or the failure of Coating Calculator to operate outside the scope of the Licence.

No Third Party Claims

Safinah Ltd shall not be liable for any claim asserted against you by any other party, including but not limited to claims for infringement of copyright or other intellectual property rights.

Time To File Action

No action arising under or relating to this agreement, to Coating Calculator, or to any support, advice, products, or services which are or should have been provided to you, may be filed more than one year after the cause of the action accrues.

Applicability

Some jurisdictions do not permit the exclusion or limitation of implied warrantees or consequential damages, so some of the above exclusions or limitations may not apply to you.

Termination For Breach

Safinah Ltd may terminate the Licence with or without cause at any time, immediately and without notice if you materially breach any term of this agreement or infringe any of Safinah Ltd’s rights in Coating Calculator.

Duties On Termination

Immediately upon termination of the Licence, you must stop using Coating Calculator and destroy all copies of Coating Calculator within your possession, custody or control.

No Assignment

You may not assign, sublicense, or otherwise transfer or any other rights arising under this Agreement. Any purported transfer in violation of this paragraph shall be void.

Enforcement Costs

You agree to reimburse Safinah Ltd for all costs, including reasonable legal fees, incurred to enforce any of Safinah Ltd’s rights under this Agreement or in Coating Calculator or to defend any claims you assert unsuccessfully against Safinah Ltd.

Severability

Any provision of this Agreement which is held to be unenforceable as written shall be enforced to the fullest extent permissible and shall not affect the validity of any other provision of this Agreement.

Governing Law and Forum

This Agreement shall be governed by English Law in England. All disputes arising under this agreement or in connection with Coating Calculator shall be resolved in English Courts.

Entire Agreement

This document states the complete, final, and exclusive agreement concerning your possession operation, copying, distribution, and other use of Coating Calculator and supersedes any previous written or oral agreements, proposals, marketing materials, representations, promises, and other communications between you and Safinah Ltd. The terms of this Agreement may only be amended, waived, or supplemented by a letter signed by you and Safinah Ltd (by a Director).
